Content Creator and Artist Agreement

Effective Date: 20.01.2025

1. Introduction

This Sinai Artist Agreement ("Agreement") is entered into between Sinai Global Ltd ("Sinai") and the Artist ("You"). By uploading your content to the Sinai platform, you agree to the terms outlined below.

2. Content Guidelines

You agree that:

  • All uploaded content will adhere to Sinai's User Guidelines and Terms of Service.
  • You will not upload material that is illegal, defamatory, or violates third-party rights.

3. Takedown Requests

You acknowledge and accept that:

  • Content flagged for potential copyright infringement will be reviewed and may be temporarily or permanently removed from the platform.
  • Sinai will comply with valid DMCA takedown notices and provide you with notice of any claims.

4. Content and Intellectual Property Rights

3.1 Content:

License to Host and Distribute Content: Creators and Artists may upload content ("Content") to the platform. By doing so, you confirm that:

  • You own or have the necessary rights to the content.
  • Creators and Artists must confirm they hold all necessary rights.
  • The content does not violate any laws, third-party rights, or these Terms.

3.2 License to Sinai Global Ltd:

You retain ownership of your Content when you post it to the Sinai Service. However, to operate the Sinai Service effectively, you grant Sinai a non-exclusive, transferable, sub-licensable, royalty-free, fully paid, irrevocable, worldwide license to:

  • Reproduce, make available, perform, display, translate, modify, create derivative works from, distribute, and otherwise use your content through any medium, whether alone or in combination with other content or materials, in any manner and by any means, method, or technology, whether now known or hereafter created, in connection with the Sinai Service.

3.3 Monetisation Rights:

Creators and Artists grant a non-exclusive license to Sinai to host, distribute, and monetise their content through streaming, subscriptions, or other approved methods.

  • Promote your content within the Sinai platform and its marketing materials.

Where applicable and to the extent permitted under applicable law, you also waive and agree not to enforce any "moral rights" or equivalent rights (e.g., rights to attribution or objection to derogatory treatment) in your content.

3.4 Third-Party Integrations: You authorize Sinai to distribute your content to third-party services (e.g., partner platforms) as specified by you.

3.5 Content Monitoring:

Sinai reserves the right to monitor and remove all content that violates these Terms or applicable laws.

3.6 Sinai's Proprietary Rights:

All trademarks, service marks, and features of Sinai, along with the Sinai Service and its content, are owned by Sinai or its licensors. Creators and Artists may not reproduce, distribute, or commercially exploit these assets without prior consent.

3.7 Infringement Reporting:

If you believe your intellectual property rights have been violated, refer to our Copyright Policy for reporting procedures.

5. Representations and Warranties

You represent and warrant that:

  • You own or control all rights (including copyrights and performance rights) for the content you upload.
  • The content is free of any claims or liens by third parties.
  • You have obtained all necessary permissions for any samples, featured artists, or other third-party contributions included in your content.

6. Disputes and Limitations of Liability

5.1 Warranty Disclaimer:

Sinai will provide the Sinai Service using reasonable care and skill and in accordance with any specification of the Sinai Service provided by Sinai, however, subject to that, the Sinai Service is provided "as is" and "as available," without any warranties of any kind, whether express, implied, or statutory.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of a consumer, so the exclusion and limitations in this section may not apply to you and nothing will affect your statutory rights.

5.2 Limitation of Liability:

Sinai's liability is limited to the greater of:

  • The amount paid by you in the 12 months prior to the claim.
  • £30.

Sinai is not liable for indirect or incidental damages, including lost profits or data.

5.3 Indemnification:

You agree to indemnify and hold Sinai harmless from and against any reasonably foreseeable direct losses, damages, and reasonable expenses suffered or incurred by Sinai arising out of or related to: (1) your breach of any of these Terms; (2) any User Content you post or otherwise contribute; (3) any activity in which you engage on or through the Sinai Service; and (4) your violation of any law or the rights of a third party.

5.4 Governing Law:

These Terms are governed by the laws of England and Wales. Disputes shall be resolved under exclusive jurisdiction in the courts of England and Wales, unless otherwise mandated by applicable laws.

5.5 Dispute Resolution:

Disputes will first undergo informal resolution. If unresolved, they will proceed to binding arbitration under UK law.

5.6 Arbitration:

Disputes may be subject to binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC).

7. Termination

  • Either party may terminate this Agreement at any time upon written notice.
  • Upon termination, Sinai will remove your content from the platform within a reasonable timeframe.

8. Updates to Terms

Sinai reserves the right to update these Terms. Material changes will be communicated at least 30 days prior to implementation. Continued use of the Service after updates constitutes acceptance of revised Terms.

9. Final Provisions

8.1 Severability:

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

8.2 Assignment:

You may not assign these Terms without prior consent from Sinai. Sinai may assign these Terms as part of a business restructuring or sale.

8.3 Entire Agreement:

These Terms, along with the Privacy Policy, User Guidelines, and other referenced policies, constitute the entire agreement between you and Sinai.
